The Directors

The Company is managed by a Board of Directors comprised of John Campion (the Chief Executive Officer), nominees from Soros, Albright and the Founders and 2 non-executive directors. Further, the Company intends to appoint further independent non-executive directors as soon as practicable following Admission once the Company has had the opportunity to conclude (in a thorough and orderly manner) its review and appointment of suitable candidates with the requisite skills and, where applicable, depth of sector experience.

The current Directors are listed below:

Michael Fairey, Independent Non-Executive Chairman, aged 63
Mr. Fairey was formerly Deputy Group Chief Executive of Lloyds TSB Group PLC before retiring from the position in June 2008. Mr. Fairey had joined TSB Group in 1991 and held a number of senior and general management appointments before being appointed to the board in 1993. Following the merger with Lloyds Banking Group in 1995, he joined the board of Lloyds TSB Group plc in 1997 and became deputy group chief executive in 1998. Previously Mr. Fairey was at Barclays Bank PLC, where, having joined them in 1967, he went on to hold a number of senior and general management appointments, including managing director of Barclays Direct Lending Services from 1990 to 1991. Mr. Fairey’s current non-executive directorships include Northern Rock plc, Vertex Group Limited, The Energy Saving Trust, Danske Bank A/S and Legal & General Group PLC.

John Campion, Chief Executive Officer, aged 48
From 1991 to 1999, Mr. Campion served as the Chief Executive Officer of Showpower Inc., a portable generator company based in California that primarily served the entertainment industry. In December 1999, Showpower was acquired by GE Energy Rentals. After GE Energy Rental’s acquisition of Showpower, Mr. Campion stayed on until towards the end of 2001 as GE Energy Rentals’ Executive Vice President of Sales and Marketing. In early 2002, Mr. Campion was hired to serve as the President of Alstom Power Rentals. Alstom Power Rentals was a subsidiary of Alstom Power Inc., a Paris-based company focused on energy and transportation infrastructure. In March 2004, Alstom Power Rentals’ ownership was transferred to APR LLC, a company owned and operated by John Campion and Laurence Anderson. Mr. Campion has served as the CEO of the APR Group since 2004.

Edward Hawkes, Non-Executive Director, aged 34
Mr. Hawkes was a Founder and Director of the Company. Together with his Co-Founders, Mr. Hawkes played an important role in identifying various acquisition opportunities and in acquiring the APR Group. Mr. Hawkes is currently a director of Sun Capital Partners and was a co-founder of Phoenix Group, a UK life insurance business with approximately 6 million policyholders and approximately £67.5 billion under management. Mr. Hawkes started his career at PricewaterhouseCoopers working on financial and commercial due diligence assignments. He left PricewaterhouseCoopers in 2001 to join Sun Capital Partners, where he has been involved in various companies and has raised over £7 billion for acquisitions.

Vipul Tandon, Non-Executive Director, aged 37
Mr. Tandon is a Managing Director in the Private Equity Group of Soros Fund Management. Previously, he served as a vice-president in the special situations group of American Capital Strategies, a vice-president of Foamex International and an associate at both Frontline Capital Group and Trace International and an analyst at DLJ Merchant Banking Partners. Mr. Tandon is also currently a director of Crystal Financial Holdings LLC and Essent Group Ltd.

Gregory Bowes, Non-Executive Director, aged 50
Mr. Bowes serves as the Managing Principal and Chairman of the Management Committee of ACM. He has over twenty-six years of experience in the financial services industry, beginning with Bankers Trust in 1983 and continuing with senior roles in institutional capital markets/alternative asset management firms. In 1988, he joined Greenwich Capital Markets (now RBS Greenwich), where he served in multiple roles, including acting as Senior Executive Officer of Greenwich International and, after acquisition of the firm by National Westminster Bank, Co-Head of NatWest Capital Markets. In 2003, after serving in other capacities in the alternative investment industry, Mr. Bowes co-founded and has since headed Albright Capital Management LLC, a US-registered investment adviser and alternative asset manager focused exclusively on the emerging markets. Mr. Bowes currently serves on the Board of Trustees of Bowdoin College in Brunswick, Maine.

Baroness Denise Kingsmill CBE, Independent Non-Executive Director, aged 64
Baroness Kingsmill is a non-executive director of International Consolidated Airlines Group, S.A, Korn/Ferry International and Betfair Group Plc. She also sits on the supervisory board of E.on AG and the Microsoft European Policy Council. From 1997 to 2004 she was Deputy Chairman of the Competition Commission (formerly the Monopolies and Mergers Commission). Baroness Kingsmill chaired the UK Department of Trade’s Accounting for People Taskforce. In June 2006 Baroness Kingsmill was appointed to the House of Lords as a Labour Peer and sits on the Economic Affairs Committee.

Haresh Jaisinghani, Non-Executive Director, aged 45
Haresh Jaisinghani is the owner and Managing Director of 3R Capital Private Limited, an investment advisory and project development firm focused on the energy, environmental and infrastructure sector in Asia. From 1994 through 2007, Haresh held a number of senior leadership positions with the AES Corporation, an NYSE listed Fortune 500 global power company, including President of Asia, Middle East and CIS and a member of the Corporate Executive Committee. He currently also serves on the Board of the CitySpring Infrastructure Trust, a Singapore listed infrastructure trust fund, and chairs the Board of CityLink Investment Private Limited, the holding company of the Basslink subsea electricity transmission interconnect in Australia. Haresh is a graduate of University of Maryland and has an engineering degree from the University of Bombay.

Jim Hughes, Non-Executive Director, aged 49
Jim Hughes has extensive experience in the energy market. From 2007 to 2011, Jim was CEO of AEI Services LLC, which owned and operated energy infrastructure businesses in the emerging markets in the power generation, power distribution, gas processing and transportation and gas distribution segments. From 2004 to 2007, he engaged in principal investing with Priest River Ltd, a privately held company based in Houston, Texas. From 2002 to 2004, Jim was President and Chief Operating Officer of Prisma Energy, an emerging market energy infrastructure business that emerged from the Enron Corp. bankruptcy. Prior to 2002, Jim served with Enron Corporation in positions that included President and Chief Operating Officer of Enron Global Assets, President and Chief Operating Officer of Enron Asia, Pacific Africa and China and as Assistant General Counsel of Enron International. Jim is a Non-Executive Director of Biomass Energy Resources LLC, a Texas based renewable energy development company. From 1999 to 2008, Jim was a Non-Executive Director of Quicksilver Resources, an exploration and production company and from 2007 until 2010 of Elektro, a Brazilian electric utility listed on the Bovespa. He holds a BA, Business Administration at the Edwin L. Cox School of Business at Southern Methodist University in Dallas, participated in the Foreign Exchange Programme with Queen Mary’s College, University of London and is a Juris Doctor of the School of Law at the University of Texas.

Matthew Allen, Non-Executive Director, aged 55
Matthew Allen is a qualified Chartered Accountant and has been the Director of a range of public companies including Gold Greenlees Trott Plc, the advertising agency, PizzaExpress Plc, a leading UK based restaurant business, and Precoat International Plc, a quoted holding company for a group of businesses in UK and Canada that processed and distributed prepainted steel to industrial consumers. He has extensive international experience in the USA, Europe and Asia. Matthew is a director of Sun Capital Partners and was a founder of Pearl Group, Punch Group and Integrated Dental Holdings Plc where he was chairman. Most recently, Matthew co-founded Horizon Acquisitions Company Plc, which subsequently completed a reverse acquisition of APR Energy in June 2011. Matthew took a BA in law at St Catharine’s College Cambridge in 1977.

Executive Management

This Board is supported by the Operating Board of APR Energy Holdings Limited (which is the immediate subsidiary of the Company and is the holding company for the rest of the Group) and which includes the Chief Executive Officer, Chief Operating Officer and Chief Financial Officer as well as a nominee from each of Soros, Albright and the Founders. Reporting in to this Operating Board are the customary reporting lines, including finance, operations, sales and marketing, including the Senior Vice President Operations and the Senior Vice President Commercial who, together with John Campion and the members of the Operating Board, make up the Management Team.

Laurence Anderson
Laurence Anderson (Co-Founder and COO) Laurence joined Showpower Inc in 1991 as Vice President and Director of Operations. In 1996, he was appointed the President of Showpower, a position he held until the company was acquired by GE Energy Rentals in December 1999, when he became Vice President of Fleet Operations for GE Energy Rentals. In 2001, he was hired as Vice President of ALSTOM Power Rentals. In March 2004, ALSTOM Power Rentals' ownership was transferred to APR LLC, a company owned and operated by John Campion and Laurence Anderson. Laurence has served as the President and COO of APR since 2004.
Rick Greene
Rick Greene (CFO) After gaining an MBA from the University of California Los Angeles in 1992, Rick began working in the aviation and aerospace industry at AlliedSignal Aerospace. After AlliedSignal and Honeywell merged, Rick became the Director of Finance for Honeywell Power Systems in 1999 and, in 2002, Director of Finance for Honeywell Process Solutions. In October 2003, Rick left Honeywell and joined Tyco International Ltd where he spent three years, first as Vice President and Chief Financial Officer of Tyco Plastics and then Chief Financial Officer of Plastics and Adhesives division. In October 2006, Rick joined Deluxe Corporation as a Senior Vice President and Chief Financial Officer. Rick joined APR Energy in August 2010 as the Chief Financial Officer.
Scott Snow
Scott Snow (SVP Commercial) Scott graduated with a BS in Industrial Engineering from Southern College of Technology and earned an MBA from Kennesaw State University. He has over fifteen years of commercial sales and leadership experience. He served as Industrial Engineer Manager for Texas Steel Company. Scott went on to serve as Senior Project Finance Manager and was then promoted to Deputy Project Manager of GE Power Plants Systems in Atlanta, GA. In this role, he worked with project managers on ($100m plus) turnkey power plant projects. Scott furthered his career with GE Contractual Services, as the Western Hemisphere Risk Manager, providing leadership which supported $3B in annual sales in Latin America. Thereafter, he was promoted as the Global Risk Leader for GE Energy Services where he provided global leadership for a $30B portfolio. Before joining the APR Group, Scott served as the Global Smart Grid Commercial Leader with GE Digital Energy, exceeding commercial metrics in numerous areas, based in Atlanta, GA. Scott joined the APR Group in April 2011 as a Senior Vice President.
Lee Munro
Lee Munro (SVP Operations) After receiving his MBA in 1997 from the University of North Texas, Lee joined General Electric (GE) as a Corporate Auditor. He worked his way through the organization, becoming CEO at GE European Operations Services. After departing from GE in June 2005, Lee founded LifeCare BV, a health and wellness company. In December 2008, he joined APR Energy as a Senior Vice President.
